Ms. Abramova handles all types of general business and corporate counseling for diverse clients in many industries. She has represented Russian and foreign-based companies in a wide variety of domestic and international business transactions, including different sorts of asset acquisitions and dispositions, as well as lease, partnership, joint venture, loan, share purchase, shareholder, distribution, agency, forwarding, logistic services, trademark license, use of know-how, and franchise agreements.
Ms. Abramova has developed extensive experience drafting constitutive documents and counseling clients on matters involving formation and reorganization of companies, building complex corporate structures, convening and documenting board and shareholder meetings, and filing for administrative approvals necessary for acquisition and sale of businesses in Russia. She has handled reorganization of a major Russian iron and steel manufacturer and a group of Russian telecommunication companies. Ms. Abramova has in-depth knowledge of Russian securities laws and has handled numerous private offerings and securities transactions. She is well-versed in title opinions and due diligence reports.
Labor Law is an important part of Ms. Abramova’s practice. She has represented major Russian and international companies in various complex employment termination disputes. She has drafted a wide range of employment agreements, including collective bargaining agreements and internal labor regulations.
In the real estate area, Ms. Abramova has handled sales, acquisitions of office buildings and industrial properties, commercial leasing as well as real estate financing. She has represented all sides to real estate transactions, including buyers and sellers, landlords and tenants, and investors and developers. She has represented senior officers of major Russian companies in acquisitions of luxury town-homes and condos in the Moscow area.
In the intellectual property area, Ms. Abramova was involved in the work on a complex trademark agreement authorizing a major distributor of alcoholic beverages to use trademarks owned by the Russian Federation in consideration for implementation by the client of the federal program for development of the Russian market of alcoholic beverages.
Ms. Abramova has advised clients on a wide range of tax matters, including taxation of individuals, tax reduction, registration with tax authorities, taxation of foreign entities in Russia.
Ms. Abramova speaks English, French and Russian (native). Practice details: Corporate law: Legal opinions on the matters of reorganization of commercial and non-profit enterprises, transfer of title to property in reorganization and setting up of companies, shareholder rights, holding of shareholders meetings; drafting of statutory and internal documents of companies, involvement in structuring arrangements for management of a group of companies.
Securities: Input in the preparation of legal opinions on placement of ADRs of a major Russian telecommunication holding and a major Russian dairy; drafting of securities issue prospectuses; counseling in the area of securities transactions: conversion (splitting, consolidation), additional issues; advice to a major French gas company on acquisition by its Russian subsidiaries' personnel of the stock being placed in France.
Intellectual property: Legal opinions on the matters of registration and use of trademarks and patents, transfer of rights to patents, trademarks, know-how; drafting of license and assignment agreements.
Tax law: Taxation of individuals, minimization of tax burden (profit tax and VAT), registration with tax authorities and taxation of foreign entities. Structuring of investments in Russia for minimization of tax burden, and further sale, of holding companies.
Real estate, construction: Due diligence check of real estate property; protection of title to and other interest in real estate; drafting of documents for and handling of real estate transactions (purchase, sale, lease, pledge), review of documents relating to residential premises transactions; structuring of contractual relations in design and construction of non-residential premises, representation of investors in construction of buildings in Moscow and Moscow Region, drafting of investment contracts for construction.
Anti-monopoly law: Acquisition by foreign investors of voting stock/shares in Russian companies, acquisition of assets of Russian companies, implementation of arrangements for management of a group of companies. Representation of a major Finnish trade holding company in the acquisition of the Russian assets and companies of a Swedish holding company.
Litigation: Representation of a foreign shareholder (plaintiff) in a dispute with the Russian iron and steel manufacturer over validity of certain transactions. Representation of a major Korean electronic equipment manufacturer and a big Czech construction company in their disputes with Russian tax authorities.
Labor law: Drafting of employment contracts with employees of all levels (CEO, chief accountant, department managers, specialists, etc.), internal labor regulations, agreements for termination of employment contracts; representation of clients in negotiations with employees, prejudicial settlement of disputes, representation of clients in judicial disputes over employee termination; advice on building a relationship with CEOs of Russian subsidiaries; counseling, development of a concept and drafting of documents in connection with employee transfer.
Currency law: Obtainment by Russian companies and individuals of foreign currency loans, acquisition by foreign companies of stock/shares in Russian companies for foreign currency; payment for labor in foreign currency.
Immigration law: Advice on the matters of stay and work of foreign individuals in the Russian Federation.
