Alexey Gorodissky has a broad-based practice, centering primarily on general corporate representation and taxation. He has represented Russian and foreign-based companies in a wide range of domestic and cross-boarder transactional matters, including venture capital investments; Eurobond offerings; sales and acquisitions of land plots, office buildings and other commercial properties. Alexey has developed experience drafting international loan agreements, trademark license, joint venture agreements, constitutive documents, shareholders’ agreements, deeds of sale, and office leases.

Recently Alexey has worked on several complex Eurobond offerings and M&A matters. An important part of his work was due diligence of companies from telecommunications, real estate, banking, insurance, lodging, retail, and gambling industries. Working on these matters Alexey has also become familiar with administrative rules and regulations, including licensing requirements, regulating the industries described above.

In the area of taxation, Alexey has counseled clients on a wide range of tax issues, including application of income tax and VAT, taxation of gains resulting from sales of shares of common stock and participatory interests, taxation of sales of Eurobonds and related transactions, application of double-tax treaties of the Russian Federation in connection with building cross-boarder holding structures of the companies. Alexey has been involved in several administrative and judicial tax cases. He has also participated in tax audit of a major Russian company.

In the area of real estate, Alexey has counseled clients on issues involving acquisition of real estate, including purchase of apartments in Moscow. He has also drafted several office lease agreements.

In the intellectual property area, Alexey has counseled clients on various copyright issues and drafted several copyright agreements, including copyright transfer agreements.

Alexey speaks English, German and Russian (native).

Involvement in the representation of Russian major mobile telephone system operators in connection with two ADR offerings at the London stock exchange and five Eurobond offerings at the New-York stock exchange, that raised an aggregate of over $5 billion (in particular, input in: providing Russian law legal opinions for the underwriters and the New York stock exchange, due diligence checks of the issuers and their subsidiaries, review of the relevant agreements and documents for compliance with Russian law, editing prospectuses and registration statements to the extent of Russian corporate, currency, and tax law, to be provided to the U.S. SEC and underwriters).

Involvement in the legal support to two industrial-financial groups in connection with setting up a joint company for implementation of one of the biggest construction projects in Russia (work on a wide range of the parties relationship structuring and contractual matters covering domestic and foreign aspects of the project, drafting of certain portions of the shareholders agreement and statutory documents of the Russian companies involved).

Involvement in the preparation and handling of the acquisition by a Greece-based international agricultural holding company of several agricultural enterprises in the Moscow Region and other areas of Russia (due diligence of the enterprises; drafting of the due diligence report, purchase agreements, and new statutory documents of the purchased enterprises).

Representation of a major international holding company in connection with the acquisition of a Russian commercial bank (input in building the corporate structure of the holding company; counseling on the matters of Russian currency, banking and tax laws).

Representation of a foreign-based client in connection with the acquisition of several construction companies doing business in Moscow and the Moscow Region (involvement in the development and implementation of an arrangement for joining the construction companies in a holding company, drafting of the shareholders agreement and internal regulations of the holding company; project finance and taxation matters; drafting of memoranda on tax issues).

Involvement in an audit and due diligence check of a Russian major TV company (review of intellectual property assignment agreements, credit facility and loan agreements).

Civil law: Advice on various issues of civil law, review and drafting of commercial contracts, preparation of memoranda regarding formalization and state registration of rights to and transactions with real estate.

Foreign economic transactions: Review and drafting of international purchase/sale contracts.

Tax law: Drafting of documents for court proceedings concerning tax disputes, review of civil law contracts as to their compliance with tax law, preparation of memoranda on various taxation issues, advice in disputes with tax authorities.

Corporate law: Advice on various issues of internal corporate construction, drafting of statutory and internal regulation documents, participation in setting up international holding companies with Russia and foreign investors.

Intellectual property: Advice on various aspects of copyright, drafting of copyright assignment and license agreements, review of franchise agreements.
