Andrey Gorodissky is the managing partner of the firm who has practiced law since 1978. Before founding the firm in 1992, Mr. Gorodissky had been chief legal expert in the USSR Ministry for Foreign Economic Relations and legal advisor in major Soviet foreign trade companies.
Mr. Gorodissky represents major corporations, financial institutions and investment banks in a wide range of matters, including mergers and acquisitions, strategic alliances, corporate finance transactions (including IPOs and follow-on offerings as well as private placements of securities), venture capital investments, commercial loans, secured financing, and general corporate matters. Much of his practice is, and has for many years been, international in nature. He regularly advises major international corporations in connection with their investments in Russia. Mr. Gorodissky has developed extensive experience representing clients in international commercial arbitration.

Mr. Gorodissky speaks English, German and Russian (native).

Representative Transactions:

  1. Led a team of lawyers drafting all legal documents for one of the biggest construction projects in Russia involving $3 billion investment (office facilities, multifunctional complex and a hotel).
  2. Acted as a leading partner representing the investor in an over $100 million project for construction of a multifunctional sports center in the Moscow Region.
  3. Led a team of lawyers providing Russian law legal opinions for the U.S. Security and Exchange Commission, underwriters and the New York stock exchange in connection with the ADR and Eurobond programs of major Russian companies, including the complex ADR and Eurobond offerings (that raised an aggregate of over $5 billion) of Russian mobile telephone system operators, and the $238 million ADR offering of a Russian dairy and juice producer (the work also included due diligence checks of the issuers and their subsidiaries, review of the relevant agreements and documents for compliance with Russian law, editing prospectuses and registration statements to the extent of Russian corporate, currency, and tax law).
  4. Legal support in the preparation of a merger of two major Russian production companies.
  5. Acted as a leading partner in the representation of a major U.S. telecommunication company in connection with a $190 million loan from OPIC for development of its telecommunication business in Russia (provision of a Russian law legal opinion to OPIC, due diligence checks of the borrower's subsidiaries, review of the loan agreement as to its enforceability in Russia).
  6. Led a team of lawyers providing back-up consulting to Aeroflot counsel, Debevoise & Plimpton, on Russian law matters in connection with a $400 million aircraft leasing agreement between Aeroflot-Russian International Airlines and Export-Import Bank of the U.S.A.
  7. Acted as a leading partner in
    (i) the representation of a German producer of lighting equipment in connection with the $15 million acquisition of a Russian producer of lighting equipment;
    (ii) the representation of Russian and foreign corporations in connection with acquisitions of insolvent companies in Russia, including a $50 million acquisition by a Russian bank of an insolvent bank in Murmansk (due diligence, debt restructuring, negotiations with the shareholders and creditors, drafting of relevant documents) and a $10 million acquisition by a Swiss company of a bankrupt Russian company in Novosibirsk (due diligence, transaction structuring, negotiations with the RF Bankruptcy Committee and the creditors' committee, drafting of relevant documents);
    (iii) the representation of the Moscow Government agent for real estate development in connection with a $70 million investment project (City Project) in Moscow;
    (iv) the representation of the investor in connection with a $36 million loan for acquisition of a bankrupt enterprise in St. Petersburg by an English company (due diligence check, provision of a Russian law legal opinion);
    (v) the representation of a major Moscow diary plant in connection with a $10 million loan from the Savings Bank of Russia.
  8. Represented major international corporations in the arbitration proceedings held by the International Commercial Arbitration Court at the Chamber of Commerce and Industry of the Russian Federation and in Stockholm arbitration.
