Ms. Nossova has a broad-based practice with particular emphasis on representing major manufacturers and distributors in commercial, financing and real estate transactions, as well as counseling on a wide range of corporate issues. She has drafted and negotiated a variety of domestic and cross-boarder transactions, including sale of goods, agency, lease, joint venture, partnership, loan, and shareholder agreements. Ms. Nossova regularly advises clients on a variety of corporate issues, including formation of companies in Russia, corporate governance, major and interested party transactions. She also has experience in setting up subsidiaries of major Russian companies outside Russia.

Ms. Nossova has in-depth knowledge of Russian real estate laws and has handled complex sales and acquisitions, as well as leases of office buildings, shopping centers and other commercial properties. In the tax area, Ms. Nossova has counseled clients on a wide range of matters. Her intellectual property experience includes drafting of trademark license agreements and counseling a major foreign distributor on trademark protection in Russia.

Ms. Nossova has broad experience in commercial litigation. She has represented clients in a variety of tax and debt recovery disputes.

Practice details:

Involvement in a project for privatization of the state stake in Russia's major iron and steel manufacturer. Drafting of legal opinions on the matters of privatization of the state stakes in major Russian producers of raw material.

Negotiating an acquisition of stock in a big Russian commercial port and formation of a joint portfolio company; drafting a memorandum of understanding, corporate agreements, statutory documents of the joint company, shareholder agreements; structuring a transaction for formation of the charter capital of the portfolio company; attending to the registration of the joint company.

Representation of a foreign major fashionable clothing manufacturer in connection with accreditation and operation of a representative office in Russia, including accreditation of foreign personnel, obtainment of visas, work permits, resolution of employment matters and other matters of operation of a foreign representative office in Russia.

Representation of a client in negotiations with big Russian and foreign investment companies and banks; involvement in planning, preparation and handling of financial operations and transactions with securities of major Russian issuers.

Representation of Russian big production and investment companies in negotiations with major Russian banks on various financing operations, including credit facilities; handling of transactions.
