Ms. Shuvaeva has developed substantial experience representing domestic and foreign-based clients in complex corporate and transactional matters, including venture capital financing, construction, bankruptcy, privatization, and securities transactions. Ms. Shuvaeva has gained extensive M&A experience. She has counseled clients on environmental laws and regulations.

Ms. Shuvaeva has been principally involved in such areas of practice as oil and gas, real estate development and construction, distribution and manufacturing, food production, telecommunications, finance, as well as software, tobacco, pharmaceuticals, and alcoholic beverages manufacturing.

Ms. Shuvaeva has represented issuers and underwriters in numerous private offerings, stock splits and stock conversion arrangements. She has been intensively involved in conducting due diligence and preparing Russian law legal opinions for underwriters in connection with recent Eurobond offerings by a leading Russian telecom company and a major Russian diary.

In the litigation area, Ms. Shuvaeva has represented clients in disputes over invalidation of administrative acts, bankruptcy proceedings, as well as in numerous business disputes over contracts. She has successfully negotiated favorable settlements in complex transactional matters.

Practice details:

Corporate: Actively involved in a due diligence check for a major U.S. investment institution and an international corporation. Research of Russian law in connection with a merger of two New-York corporations. Representation of a Moscow government property developer in an extrajudicial settlement of a dispute over the contract between the developer and a foreign investor; legal support in the introduction of a new investor. Drafting of legal opinions on loan agreements with foreign investors, restructuring of companies, banks merger, corporate governance, corporate decision-making.

Real estate & construction: Due diligence of real estate projects; protection of rights to real estate; transactions with real estate; structuring of the relationship under a construction contract and drafting of contractual documents. Legal support to the projects for construction of office centers in Moscow, a distillery, a residential complex in the Moscow Region, a big regional office and trading center.

Information: Drafting of legal opinions for a software manufacturer on the matters of information rights.

Securities: Involvement in a legal support to US$2 billion Eurobond and ADR offerings (due diligence check of the issuers and their subsidiaries; legal opinions for the underwriters and the New-York stock exchange; editing prospectuses and other documents for submission to the U.S.A. Securities Commission and underwriters, to the extent governed by Russian corporate, tax and currency laws).

Bankruptcy: Legal support in an acquisition of the assets of a bankrupt Russian pulp and paper manufacturer. Active involvement in the representation of and assistance to the foreign shareholder of a big Russian bus manufacturer in connection with the plant's bankruptcy. Legal support to a foreign investor in the bankruptcy acquisition of a West-Siberian weaving equipment manufacturer. Active involvement in the acquisition of an insolvent bank (due diligence check, negotiations with the bank's shareholders and creditors, drafting of relevant documents).

Use of subsoil: Licensing; transfer of rights; invalidation of the decisions of governmental authorities.

Intellectual property: Drafting of legal opinions and assignment documents in connection with transfers of intellectual property rights to and from media companies.

Customs: Customs treatments; customs formalization of export-import transactions; invalidation of the decisions of customs authorities.

Taxation: Taxation of Russian and foreign companies and individuals.

Currency law: Borrowings in foreign currency by Russian companies; acquisition of stock in Russian companies for foreign currency; payments in foreign currency to employees.
