Yuri Tsvetkov represents clients in a wide range of commercial transactions and has considerable expertise in commercial litigation and arbitration. He has extensive experience in the negotiation, structuring and documentation of joint ventures; loan and investment agreements; as well as license agreements. Mr. Tsvetkov has led teams of three and more attorneys in complex acquisitions of iron and steel companies. In the securities area, he has led a tem of three attorneys in a $250 million eurobond offering by a major Russian diary and juice producer. The team was responsible for due diligence of the issuer and its affiliates and provided a Russian law legal opinion to the underwriter in connection with the offering. He has represented Russian and foreign investors in bankruptcy and complex restructuring of Russian companies. Mr. Tsvetkov has assisted a wide range of start-up companies. His clients come from varied industries such as oil and gas, energy, iron and steel, telecommunication, engineering, chemical and construction.
In the litigation and arbitration area, Mr. Tsvetkov has represented Russian and foreign companies in property, invalidation of corporate resolutions, privatization, bankruptcy, joint venture and general commercial litigations as well as in cases relating to invalidation of transfer of licenses for extraction of oil. He is well-versed in complex corporate control litigation and represents majority and minority shareholders in hostile acquisition disputes.
Mr. Tsvetkov joined the firm in 1996 after 20 years of legal service to various State-owned companies. He speaks English, Hungarian and Russian (native).
Practice details:
- Research and drafting of memoranda, legal opinions, statutes and agreements for setting up companies and organizations, and other contracts in various branches of law (currency, customs, tax, anti-monopoly, corporate, foreign investment, intellectual property, etc.);
- Legal support to a number of major foreign and transnational corporations in their business in Russia in the fuel & energy, processing, metallurgy sectors;
- Work on investment projects of foreign companies for setting up Russian subsidiaries and joint ventures, including a joint venture for manufacture of construction materials and a joint venture for manufacture and sale of oil transportation equipment;
- Led a team of lawyers in the due diligence check of a Russian electric equipment manufacturer to be purchased by a major French investor, and in the due diligence check of a largest Russian agricultural complex for potential Russian investors;
- Legal support to a major Russian production company in setting up joint ventures in the CIS countries;
- Involvement in the preparation of legal opinions for major U.S., English and German banks in connection with multi-million USD loans to Russian companies and with the public offering of the Russian companies' bonds in the U.S. and West-European markets;
- Involvement in the preparation of a package of documents for setting up a holding company by a Russian and a German investors for cooperation in the manufacture of automobile units and assemblies;
- Legal support in the performance of contracts for delivery of oil transportation equipment by a major U.S. machine-building corporation under the Sakhalin Production Sharing Agreement, and of contracts for delivery of technologies by a big Canadian company to Russian metallurgical and other sectors;
- Legal support to a major investment project for building an optic fiber communication network by Russian, German and other foreign companies; and to a project for joint use by the Russian and U.S. companies of the satellite communication;
- Led a team of lawyers in restructuring a number of companies in the fuel & energy sector, and in drafting a package of agreements for sale of the companies' stock and joint management of the group of companies by the investors;
- Legal support in acquisition of large stakes in a number of iron & steel companies, assistance in taking and documenting corporate decisions;
- Assistance to a number of major Russian production companies in the protection against unfair competition and abuse by competitors of their monopolistic position in the market;
- Drafting of trademark license agreements for major U.S. corporations;
- Drafting of joint venture agreements in construction business;
- Representation of clients in international commercial arbitration, before Russian state commercial (arbitrazh) courts and common courts in disputes over property, validity of corporate decisions, in the matters of bankruptcy, privatization, transfer of title to licenses for oil extraction, insurance, copyright, environmental claims in the development of natural resources, land use, etc.; drafting of legal opinions on request of foreign law firms on the matters of Russian substantive and procedural law, to be submitted to foreign courts and arbitration.
